Hong Kong Company Registration Timeline: Application to Approval
Ah, the sweet smell of incorporation in the morning. Yes, in Hong Kong, registering a company really can be done in only a morning. The time after you submit your application is remarkably fast at just 1 hour. Realistically, however, incorporating a company in Hong Kong typically takes one week from start to finish. This includes 4-6 days for preparation of documents and name verification followed by the aforementioned 1 hour for processing an electronic application once submitted.
Let’s dive into the timeline, shall we?
Step 1: Pre-Application
Estimated time: Variable, typically a few days to a week
To begin, you need to make a few crucial decisions:
Choose your company type: Will it be limited by shares (most limited companies are this) or limited by guarantee (most nonprofits are this)?
Pick a name: This is like choosing a username, but with more legal implications and fewer available options. You can see if yours is available at https://www.e-services.cr.gov.hk. Even if it looks available, your chosen company name will only be confirmed after the incorporation application has been processed.
Your Registration fee will not be returned if your proposed company name is not registerable or if your application didn’t meet all the requirements of the Companies Ordinance.
Step 2: Fill Out Required Documents
Estimated time: 1-3 days
Now that you’ve made the big decisions, it’s time to gather your paperwork. You’ll need:
Incorporation Form (NNC1 or NNC1G)
Articles of Association (it outlines how your company will be run, including details about shares, shareholder rights, director appointments, and decision-making processes.)
Notice to Business Registration Office (IRBR1)
Step 3: Apply
Processing time: Within 1 hour after submission for electronic applications
Hong Kong offers two paths to corporate existence:
The Electronic Superhighway: Apply online through e-Filing Services.
The Nostalgia Route: Submit hard copies like it’s 1999.
Almost everyone opts for the electronic route. Processing time is as little as 1 hour after submission (yes, you read that right) and electronic certificates issued within the same timeframe.
Paper applications are still possible for the nostalgic among us, but they take up to 4 working days.
Step 4: Post-Registration Steps
Estimated time: Variable, depending on specific needs
Congratulations! You’re now the proud parent of a Hong Kong company. But before you pop the champagne:
Download and save your electronic certificates (immediately available for electronic applications)
Understand the legal implications of your new corporate overlord status
Apply for any necessary business licenses (because one piece of paper is never enough)
Remember, different industries may require specific licenses. For example, if you’re starting a restaurant, you’ll need a food business license. If you’re opening a crypto exchange, you’ll need… well, good luck with that.
